Corporate Governance Officer

On May 6, 2025, the Board of Directors of Heron appointed the Vice President and CFO, as the Corporate Governance Officer, serving as the corporate governance working group to conduct related affairs. The main responsibilities are as follows:
- Organize for the Board of Directors and Shareholders' meetings.
- Prepare minutes for the Board of Directors and Shareholders’ meetings.
- Assist directors with their appointments and ongoing education.
- Provide directors with necessary information for business execution.
- Assist directors in complying with relevant laws and regulations.
- Report to the Board of Directors on the qualifications review of independent directors during the nomination, selection, and term of office.
- Handle director changes.
- Other matters as stipulated by the articles of association or agreements.

The Corporate Governance Officer's continuing education status:
- The corporate governance officer was appointed in May 2025 and shall complete the 18 hours of training within the first year from the date of appointment, in accordance with “Taipei Exchange Directions for Compliance Requirements for the Appointment and Exercise of Powers of the Boards of Directors of TPEx Listed Companies.”
Integrity operations

The company has designated the General Manager's Office as the dedicated task force, under the Board of Directors, and has allocated sufficient resources and competent personnel to handle the revision, implementation, interpretation, consultation services, and registration of reporting content related to this operational procedure and code of conduct. The task force is also responsible for supervising execution and must report to the Board of Directors regularly (at least once a year).

Integrity Management Status in 2024 :
- Established the Code of Integrity Management in 2024.
- Conducted a total of 169 hours of educational training on accounting systems, internal controls, workplace safety, and other related courses.
